Key accountabilities:

Drafting and negotiating high value agreements including MOU, Pre-bid Agreements, Master Agreements, Framework Agreements, Services Agreements, Specific Project Agreements in a worldwide environment, Settlement Agreements;

Advising stakeholders on GDPR, Intellectual property, Export Control, Competition Law, Duty of Vigilance, Insolvency and Cybersecurity;

  • Reviewing and giving guidance on newly introduced legislation and the potential impact on Legal Sourcing ;
  • Contract Review and Negotiation: Monitor and improve process for contract development, review and negotiation; advise all levels of business partners on a broad array of Sourcing business transactions; update and develop standard documentation to protect company's best interests on contractual commitments, balance and optimize risks and ensure company is protected legally;
  • Legal support to Sourcing managers on claim management, dispute settlement and other legal issues arising at contract execution stage;

Coordinate Procurement Domain activities with Legal Regions to ensure transparency, efficiency and fluidity;

  • Ensure regular reporting of quality and as part of such be able to identify risk and opportunities and escalate to management;
  • Interface with law firms;
  • Facilitate trainings and awareness sessions on Legal Sourcing topics as well as other legal topics related to sourcing contract management and compliance.
  • This position should promote the Alstom Code of Ethics as well and adhering to the highest standards of ethical conduct

Experience
-
Mandatory:


  • At least 10 years of relevant working experience gained as inhouse legal counsel and/or in private practice in an international setting;
  • Knowledge of Sourcing considerations in a multicultural environment and covering a wide range of equipment in the various direct Procurement Domains such as: Metallic, Propulsion & Controls, Sub-Systems, Interiors, Services and DIS
  • Experience and comfort working in a worldwide matrixbased organization.

Strong Team Player - Contribute to the Sourcing Legal Department systematical development and play as a team member with the other members in the Legal Regions and Sourcing Contract Management and collaborate on cross-border or multiple jurisdictional transactions;

Detailed and results-oriented, with outstanding organizational and analytical skills.

Demonstrated business savvy with the ability to work successfully with high level business clients and to evaluate and to accept appropriate risk-taking to protect shareholder value.

  • Proven experience in drafting, reviewing and negotiating (international) commercial contracts on the one hand and compliance (e.g. antibribery, anticorruption, fraud, antitrust, export control, privacy, Enterprise Risk Management) on the other hand;

Strong business acumen, a robust yet flexible personality, good communication skills (oral and written) and are able to operate in a multi-cultural and multi-jurisdictional environment;

  • Demonstrate experience directly advising nonlegal people on complex business arrangements involving complex legal issues, in terms they can understand international commercial transactional experience;
  • Proficient in English (working language).
