Within a legal team of 4 people based in Montpellier and under the authority of the Legal Manager France, the corporate lawyer provides advice and assistance to the Offshore Business Unit, particularly to the teams responsible for offshore wind projects in France.

They also bring their expertise in M&A and project financing to the QAIR FRANCE general management, under the supervision of the Legal Manager France.

This includes partnerships in industrial and commercial projects, external growth operations (acquisitions or shareholdings), and project financing, involving onshore wind or solar projects, offshore wind projects, and hydrogen projects.


Legal services include legal advice, analysis and prevention of legal risks, coordination of professionals and legal contributions in operations, negotiation and drafting of contracts, and monitoring litigation and arbitrations.

The position is based in Montpellier, with occasional travel in France.

Mission

The main responsibilities of the Corporate Business Lawyer include:

  • Anticipate legal risks and needs specific to cases, alert, advise, and propose suitable solutions.
  • Draft a variety of contracts (letters of intent, MoUs, partnership agreements, shareholder agreements, asset acquisitionsale contracts, financing contracts, etc.) and participate in their negotiation.
  • Prepare legal documentation for responses to calls for tenders and follow the legal aspects of projects once awarded (creation or participation in joint ventures, establishment of agreements and bank financing).
  • Contribute, with the financial and operational managers of the Group, to the choice of contractual and financial schemes for the relevant activities.
  • Assess regulatory and contractual risks, propose innovative solutions to reduce risks.
  • Coordinate and supervise the work of external advisors. Be able to recommend the choice of lawyers, conclude mandates, and manage their services.
  • Propose and participate in the implementation and evolution of standard documents.
Profile

  • University legal education in business law, supplemented by CAPA and/or a business school diploma.
  • The Corporate Lawyer works in a strong international context; proficiency in professional English is essential both orally and in writing.
  • They are a lawyer or corporate legal professional with a minimum of 4 years of experience in a business law firm or within the legal department of an international company, with expertise in M&A, company law, and project financing.
  • Enthusiastic, rigorous, organized, with the ability to take initiatives in a demanding context.
  • Team spirit and the ability to integrate into large projects. Ability to work crossfunctionally (other professions, other sectors, etc.).
