In this prospect, we are seeking a Legal Counsel in Corporate law & governance, and Compliance for our legal team.


In this role, you will contribute to the smooth running of the group's governance, ensure compliance with company laws and regulations and play an active part in the group's projects by providing a quality service and formulating relevant advice.

Description of the role:

As a Legal Counsel, you will work conjointly with the Head of the Legal Department as well as with senior lawyers of the Legal Department and will be dealing with a great variety of legal issues, including but not limited to corporate law and governance and Compliance matters.

You will also be involved to a certain extent in other areas of law relevant to the activities of the CGNEE Group.


You will be tasked to:

You will provide legal advice and manage files relating to company law, corporate law, compliance law and to the governance aspects of the holding company and its subsidiaries


Corporate & governance

  • Advise and assist various internal stakeholders and/or departments in development and maintenance of corporate documents, filings, registries and general corporate governance.
  • Provide legal advice on and ensure corporate housekeeping for the holding company: organization of general meetings, coordination of articles of association, drafting or review of annual reports, minutes, internal governance, delegations of powers, etc.
  • Management of KYC process, legalization of documents, and verification of documentary requirements.

Compliance

  • Coordinate the research and implementation of the company's legal compliance management requirements / strategies.
  • Responsible for the implementation of legal compliance risks in the company's projects, and guide, supervise and inspect the legal compliance operation of all organizations.
  • Implement and manage the Ethic & Compliance plan, including but not limited to antiBribery & Corruption (Sapin 2, Devoir de vigilance, FCP, whistleblowing, UK regulations, etc); and Environmental, social, and governance.
  • Draft and update related policies and contract templates.
  • Regularly audit and assess company operations, procedures, practices, and documents to identify possible weaknesses or risks, or lack of compliance.
  • Create and manage effective action plans in response to audit discoveries and compliance violations.
  • Proactively monitor developments in related legal matters (regulatory watch) and suggest/ draw up procedures to comply with them, when necessary.
  • Create and lead training sessions
Who we are looking for?

  • Master degree (+5) in Private law, Ethics and Compliance law, Corporate law.
  • At least 3 years of experience in a compliance and corporate role in an international environment (group of companies, law firm or audit firm)
  • Knowledge of international regulations related to the scope (_Sapin 2_, ABC Act, Anti-Money Laundering etc. )
  • Gravitas to work in close collaboration with senior management on evolving strategic and sensitive international issues in a highpressure, timecritical environment
  • High level of understanding of company laws.
  • Organizational skills and detail oriented
General insights on the renewable energy sector and its legal framework would be an advantage
