    Position purpose:

    Under the guidance and leadership of the EMEA-LATAM General Counsel, the role is to

    • Oversee and manage the legal affairs related to the allocated markets in the EMEA region, in coordination with local legal teams
    • Serve as a trusted advisor on a wide range of strategic, tactical and operational issues of the business
    • Provide advice to ensure maximum legal protection of the business in the region, including compliance matters, corporate governance, litigation management and resolution, financing transactions, risk management and other regulatory matters
    • Assist or drive drafting, negotiation and finalization of a wide range of commercial contracts
    • Help implement regional projects
    • Liaising with local teams, participate in the preparation of shareholder and board resolutions for affiliates within the region

    The main responsibilities are

    • Provide legal advice, take appropriate action and develop cross-functional strategies to solve legal and contractual issues, while supporting, among others, the finance, operations, marketing and HR functions
    • Provide advice, support (including drafting and negotiation) and monitor matters related to various commercial agreements for the region, including route-to-market, distribution, marketing, agency, consulting, joint-investments, operation partnerships, procurement, leases, financing and loan documentation, anti-trust, trade regulation, deals with competitors, and significant strategy/organization projects
    • Ensure monitoring of legal and compliance issues encountered by MENA affiliates, develop, implement and monitor compliance programs throughout the MENA Region including Morocco (GDPR, Corruption, etc.)
    • Interpret regulations, track legislation, assess legal trends, and help make operational decisions on key transactions for the region
    • Assist in the resolution of disputes involving the Company and the local affiliates, incl. assessment of alternative dispute resolutions
    • Help manage risks and prevent unethical, illegal or improper conduct in the region
    • Assist in the coordination and delivery of regional projects (ex: online training, data protection, best practices sharing...),
    • Ensure monitoring of legal issues encountered by EMEA LATAM affiliates (possibly in support of local lawyers)
    • Coordinate and ensure follow-up of governance matters in relation to affiliates
    • Provide a regulation / legal environment intelligence, especially in MENA markets
    • More generally, actively participate in the activities of the Legal Department through the management of transversal legal projects in the EMEA-LATAM Region and animation of the EMEA LATAM legal community, including through the preparation of certain seminars/presentations/trainings, the development of legal guidelines and the elaboration of model contracts

    The profile required is

    • Master's degree in law with strong knowledge of corporate/commercial law from a leading law school

    5+ years in the legal department of an international company and/or law firm of repute as lawyer with a strong background in corporate, commercial & contractual law.

    • Strong experience in commercial contracts
    • Capacity to manage various and multiple projects in multiple jurisdiction at the same time
    • Excellent interpersonal skills – approachable, able to interact with others
    • Excellent capabilities in project management
    • Ability to express legal concepts and opinions in clear, practical and commercial manner
    • Flexibility, adaptability and pragmatism
    • Strong analytical and strategic skills
